Caldwell, COO
Carter Caldwell brings experience in starting,
building, and growing technology companies to profitability. Carter was the fifth member of Acorn Systems, Inc.
and was integral in taking that company from pre-revenue to profitability. He has served in the capacity of Director of
Corporate Development, Product Manager and Engagement Manger. His experience is derived from positions at Acorn
Systems, J.P. Morgan, Bear Stearns, and Business Philadelphia Magazine.
While at Acorn Systems, and working with distributors in the Semiconductor, Electronics,
Fluid Mechanics, Chemical, Food Service, and Steel industries, Carter has succeeded in
returning businesses to profitability using various methods including activity-based
costing.
JP Morgan recognized Carter for creating a novel software analysis tool for all equities
under their coverage. This tool, which
utilized data such as equities respective median volatilities and average daily
volumes, enabled JP Morgans institutional traders to make more informed trading
decisions. Ultimately, this tool was used to
alter the mix of equities that JP Morgan held in its Institutional Portfolio.
Carter currently serves on the Board of Directors for Texchange (the Texas
Entrepreneurs Exchange), the Advisory Board of Vinci USA, the Advisory
Board of Z-Squared Ventures, the Steering Committee of the Houston World Affairs Council,
the Secondary Committee for the University of Pennsylvania
Admissions Department, and the Young Friends Committee of the
Pennsylvania Academy of Fine Arts. He also energetically acts as a Career Advisor for University of
Pennsylvania students and is a member of the MIT
Enterprise Forum. Carter holds a B.A in
Philosophy, Politics and Economics from the University of Pennsylvania.

Nicole DeMeo,
Marketing Consultant
Nicole DeMeo has practiced marketing and communications for over 15
years. Working with chief executives, she develops business/case
strategy, writes and actualizes business plans, and guides companies and
organizations through multiple phases of their lifecycle (business
planning, launch, accelerated growth, mergers and acquisitions, IPOs,
maturity, restructuring, downsizing and crisis management).
As a partner in Turning Point Solutions

Nicole assesses, evaluates and acts to protect and enhance brands,
organizations and the executives who manage them. She is particularly
adept at protecting companies' reputations during downsizing and in
complex public situations.
Nicole has represented high-profile
technology start-ups and Fortune 1000 consumer products/services
companies. Her participation in over 30 company launches has resulted in
significantly increased valuations, acquisitions and IPOs. Nicole has
conducted Positioning and Messaging Workshops, Media Training, and
Crisis Management programs for over 60 companies, and has represented
high-visibility personalities and celebrities to establish, enhance and
protect their public image. She has managed marketing and PR programs
both in-house and for large public agencies. Companies she has
represented include Lucent Technologies, NCS, Wells Fargo Bank, and
General Growth Properties, start-ups Cinema Epicuria: The Sonoma Valley
Film Festival, When.com (acquired by AOL), iWare (acquired by eMachines)
and GoLive Systems (acquired by Adobe) and nonprofits The California
AIDS Education Campaign, Planned Parenthood and the Rainforest Action
Network.
Working with visionary Steve Jobs, Nicole
crafted the internal and external communications efforts for NeXT
Software through its acquisition by Apple Computer. As head of corporate
communications, she oversaw strategic communications and strengthened
NeXT's relationships with all its constituents.
Prior to co-founding Turning Point
Solutions, Nicole founded Bella Luna Communications Inc., which focused
on strategy, fundraising and launching the public face of new companies
and organizations. Previously, she was VP-Managing Director of Organic
Communications (a division of Organic Inc.), where she directed
strategic vision and was part of the executive team which took the
company public. Before that, she founded Advantedge Communications, a
marketing and public relations firm, which was incorporated into Organic
in 1998.
Nicole has also managed several marketing
and PR programs in-house and on the agency side including NeXT Software,
KnowledgePoint, Copithorne & Bellows, Hi-Tech Communications, and Ogilvy
and Mather Public Relations. |

Duncan Dickey, Executive Vice President
Duncan brings 35 years of successful
entrepreneurial and professional sales experience to Quazant. Most recently,
Duncan was a founding partner
in the launching of PrimeSource, a building materials distribution company with 40
locations nationwide. As a shareholder and
Vice President of National Accounts, Duncan helped to successfully guide the new
companys fortunes to become the largest manufacturer and distributor of
fasteners in the U.S. starting from less than $300 million in annual sales to
well over $1 billion in 2004.
Prior to PrimeSource, Duncan founded Cantree Building Products, which supplies
materials to the building industry. In
11 years, he built the business into a 3-unit chain with over $5 million in sales. Duncan
sold Cantree and moved to Dallas where he became Vice President of Connor Forest
Industries and established a new division: Connor Floors, which is a manufacturer and
designer of hardwood sport floors. As its
President, the company grew into the largest in the country in just 3 years.
Mr. Dickey has held numerous board positions, including the National Building Materials
Distributors Association, Maple and Hardwood Flooring Manufacturers Association, and the
AHA. Mr. Dickey also served on the Leadership
Council of the NBMDA. |

Robert Mills, CTO
Having founded two previous, profitable,
and continually growing software companies, Robert W. Mills brings his experience of
taking a software development and services corporation from the start-up phase to
profitability, in addition to building this type of software product. Robert also brings experience with integrating
this type of product into the wireless industry. His
successful creation and management of the senior product development team at Acorn Systems
is ample evidence of his leadership ability.
Roberts technical background is extensive and is the result of careers at Acorn
Systems, System Application Engineering (SAE), and Software Interfaces/Platinum. Robert is trained and fluent in C/C++, Java, SQL,
Windows 2000/NT/98, Unix, VAX/VMS, ADO, MFC, Motif and Xlib, Visual C++, C++ Builder,
PVCS, CVS, Oracle, SQL Server, MS Access, Excel, Word, Outlook, Threads, TCP/IP, and
Database Design. His database design
experience includes having been the Lead Developer for a high-performance client-server
database system for the first nationwide two-way paging system. The system was developed
in C++ and included technologies such as OOD/OOP, object persistence, multi-threading,
sockets, associations, multi-site transaction replication, backup/restore, and recovery.
Robert holds a B.S. in Computer Science, and a Minor in Mathematics from the University of
Houston. |

Manisha Peries, Director of Embedded
Products
Coupling her MBA
(concentration in Management Information Systems) from the University of Houston with her
extensive development experience makes Manisha an excellent choice for Director of
Embedded Products. At Acorn Systems, she
designed and developed many aspects of the flagship Activity Based Costing product -
QuickABC. She also designed and developed the
BusinessBrowser - a sophisticated report writer that served as a primary information
delivery system for Acorn's Enterprise Profit System (EPS) product suite.
Manisha has lead several product teams in these design and development efforts. During her
time at Acorn, she assumed the responsibilities of product quality assurance, customer
support, graphic design and internal training. She
has developed a comprehensive user interface design standard, a web-based front end for
the second generation of the QuickABC product, and designed and developed the company web
site.
She is fluent in using C/C++, Java, HTML, JavaScript, VB Script, SQL, Pascal, Visual
Basic, Borland C++ builder, SQL Server, Oracle, and MS Access, and used her
object-oriented and database design and development skills in producing many of the above
products. |
